1. Agreement to these Terms
These Terms and Conditions (“Terms”) govern your access to and use of gmatninja.com and related sites/subdomains, and the courses, tutoring, admissions consulting, content, and other services we provide (together, the “Services”), offered by GMAT Ninja LLC (“GMAT Ninja,” “we,” “us,” or “our”). By accessing or using the Services, or by purchasing from us, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.
3. Your account
Some Services require an account. You agree to provide accurate information, keep your login credentials confidential, and remain responsible for activity under your account. Notify us promptly of any unauthorized use. We may suspend or close accounts that violate these Terms.
4. The Services we provide
GMAT Ninja offers GMAT, GRE®, and Executive Assessment (EA) tutoring; a self-paced GMAT course; MBA admissions consulting and essay editing; and mental performance and mindfulness coaching. We also publish free resources such as articles, videos, and quizzes. We may add, change, or discontinue features or offerings, and we aim to give notice of material changes where practicable. Descriptions of the Services are provided in good faith but are not guarantees of any particular outcome (see Section 12).
Please note that the Terms and Conditions listed here govern all our services except our self-paced GMAT course, which operates under its own terms and conditions.
5. Purchases, pricing, and payment
Our tutoring and coaching services are billed at a flat hourly rate; rates are per hour, not per session, and current rates are listed on our rates and policies page. You are responsible for any applicable taxes.
Rate lock. Rates may change in response to demand, but we will not increase your rate after you begin working with us; the rate in effect when you start applies for the duration of your engagement, even if rates rise for new students. Should you choose to pause your Services with us for more than 12 months, this rate lock no longer applies.
Payment methods and surcharge. We accept major credit and debit cards from U.S.-based banks. A 3.5% surcharge applies to credit card payments; debit card payments are surcharge-free.
Payments are processed by our payment providers, Stripe and Stax, under its own terms; we do not store full card numbers.
6. Payment authorization and autopay
Our services are pay-as-you-go. For hourly tutoring, admissions consulting, and performance coaching, you pay in advance for your first session. After that, you authorize us to charge your chosen payment method automatically, through our payment provider’s secure autopay, after each completed session. This authorization applies only to sessions you attend or that are chargeable under the cancellation policy in Section 7. You can update your payment method or end the authorization at any time by contacting us; ending it means we cannot schedule further paid sessions until a new method is provided.
7. Refunds and cancellations
Because our services are pay-as-you-go (see Section 6), you do not pre-pay large amounts, so the operative financial term is our cancellation policy rather than refunds.
- Cancellation (all services). If you cancel less than 48 hours before a scheduled tutoring, performance coaching, or admissions consulting session, or you do not attend, you remain responsible for payment for that session, because it is generally too late to offer the slot to another student. We make reasonable exceptions for genuine emergencies and events beyond your control (for example, severe weather, fire, or internet outages).
- Lateness. If you arrive late, your session will still end at its scheduled time.
- Courses / video courses. Any self-paced or video course is governed by the specific terms presented with that course at the point of sale; please refer to those terms for refund eligibility.
Where you are a consumer in the EEA or UK, statutory withdrawal and cancellation rights may apply, and nothing in this section removes rights you have by law.
8. Intellectual property and license to use our materials
All content and materials provided through the Services — including lessons, videos, questions, explanations, text, graphics, and software — are owned by GMAT Ninja or its licensors and are protected by intellectual property laws. Subject to these Terms and your payment, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the materials for your own study.
You may not copy, reproduce, republish, distribute, resell, sublicense, publicly display, record, or create derivative works from the materials; share your account or access credentials; or use any automated means to scrape, crawl, or harvest the Services, except as expressly permitted or required by law.
9. Your content
You retain ownership of content you submit (for example, questions, forum posts, survey responses, and admissions-consulting materials such as essays). You grant GMAT Ninja a worldwide, non-exclusive, royalty-free licence to use, host, store, and process that content for the purpose of providing and improving the Services. You represent that you have the rights to the content you submit and that it does not infringe others’ rights or violate any law.
10. Third-party trademarks and no affiliation
GMAT and Executive Assessment are trademarks of the Graduate Management Admission Council (GMAC). GRE® is a registered trademark of Educational Testing Service (ETS). LSAT® is a registered trademark of the Law School Admission Council (LSAC). GMAT Ninja is an independent test-preparation and admissions-consulting provider and is not endorsed by, affiliated with, or sponsored by GMAC, ETS, LSAC, or any other testing organization. All third-party marks are the property of their respective owners and are used only to identify the exams for which we provide preparation.
11. No guarantee of results
We provide educational preparation and guidance, not outcomes. While we take reasonable efforts to ensure you receive quality service, we cannot guarantee any particular score, score improvement, admission to any program, or other result. Your results depend on many factors outside our control. Any performance figures or student examples we share are illustrative and not promises.
12. Acceptable use
You agree not to misuse the Services, including by: infringing intellectual property or other rights; sharing or reselling access or materials; harassing or abusing staff or other users; uploading unlawful, harmful, or misleading content; attempting to gain unauthorized access; interfering with the Services’ operation; or using automated tools to access or copy the Services. We may suspend or terminate access for breach.
13. Disclaimers
Except as expressly stated and to the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied. While we aim to create a smooth experience for you, we do not warrant that the Services will be uninterrupted, error-free, or that content is complete or accurate. Nothing in these Terms excludes any warranty or right that cannot be excluded by law.
14. Limitation of liability
To the fullest extent permitted by law, GMAT Ninja will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the greater of the amount you paid to us in the 12 months before the claim, or $1,000 USD. Nothing in these Terms limits liability that cannot be limited by law, including, for consumers, mandatory statutory rights.
15. Indemnification
You agree to indemnify and hold harmless GMAT Ninja and its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your content.
16. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or where necessary to protect the Services or other users. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
17. Third-party links and services
The Services may link to or integrate third-party sites and tools we do not control. We are not responsible for their content or practices, and your use of them is subject to their terms.
18. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, for material changes, provide notice through the Services. Your continued use after changes take effect means you accept the updated Terms.
19. Governing law and disputes
These Terms are governed by the laws of Colorado, United States, without regard to conflict-of-laws rules, and the courts of Colorado will have jurisdiction, except that this does not deprive consumers of the protection of mandatory laws of their country of residence.
Informal resolution first. Before starting arbitration or a court proceeding, you agree to contact us at [email protected] and give us 30 days to try to resolve the dispute informally.
20. General
These Terms, together with the Privacy Policy and any purchase-specific terms, are the entire agreement between you and GMAT Ninja regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
